Opacity is a global transparancy adjustment, everything is changed. Fill is a more specific adjustment. For instance if you had a layer effect like drop shadow, opacity would affect it, but fill would only reduce the trancparancy of the original object and leave the drop shadow at full effect. Or create some text, apply an outer glow effect then reduce the fill to 0% and leave just the outlines. Of course if you use no layer styles it just acts the same as opacity.
