I can't vouch for the first emax, but I've owned an emax II and
Emulator II at the same time. But, the emax II has an emax I mode,
which I've used to save disk space, so I'll go by that.

If you don't mind dealing with the 5 1/4" floppies, I'd go for
the Emulator II. While the Emax does have a cleaner sound, the
emulator is way warmer. I've owned a mirage and akai S612 and
though the specs of the samplers in ways of sample rate and
such were pretty similiar, the emulator was heads and tails above
the rest. For being a low rate, it doesn't have what I would call
a "lo-fi" sound, I'd even say the emax sampled at a similar rate
has a grittier sound.
I've heard others say this and I agree: the emulator is great
for synth and pad sounds, for samples of "real" instruments,
the emax does better.
I'll also put one in that, though they have a very similiar editing
and sampling process, with 5 sliders and lots of LED's, the
emulator is more of a joy to program :)
