I have the Keil V3.20C running on my PC and only have the keilul.sys. I am able to use ULINK to debug and download code without any problem, so I'm not sure why it's looking for keil_jtag.sys. One suggestion would be to download the uVision LPC2000 ARM code from Keil. I have not had any problem bringing up the debugger when I load uVision.
