Nope, turned out to be twain related this time.  I had the memory problem
before and had photoshop set at the low defaults when it happened.  Now that
I've got the Silverfast twain drivers out photoshop will take 300mb of RAM
and fires up just fine.

Good idea.  I wonder if we will have to do this with PS7?  I'm anticipating
using both the classic and native versions on the same machine...but I
wonder if they will have figured out the classic memory allocation?
Personally, I've gotten so used to OSX now...I hate to go back.  I never
thought this would happen at first...I had used the MacOS since 1984 and
figured I would never learn a new way.
