Not much difference that you would notice in the OS. The look of XPP 
is different out of the box but you can change to look like W2K. 
Software shouldn't be a problem. Check all of your existing hardware 
(scanner, tape back-up drive, printers etc.) for correct drivers for 
both OS's. If all drivers are available, I'd go for the XPP.
