Hi From the information you have given I can not say why the ISP is not working on your board but I can clear up the MAX202 issue. I have several thousand devices in the field using the MAX202 driven from 5V (to be precise MAX202ECUE) so there is no problem with this part (if used correcty). I can however confirm from experience that the serial port of the LPC2106 (the one I use, but probably generally the case) is very sensitive to glitches on its input. In my case I had no problems communicating using the FLASH utility but downloads would almost always fail until I removed a gate with overshoot in the receive path. The only thing that I would suggest is to verify the quality of the signals and use a low speed to establish communication until you know that all is well. Check also that the quarz that you are using doesn't have a frequency which makes async communication difficult - don't forget that the ISP program has to automatically set its serial baud rate when establishing a connection.
