Piezography Limited & Chapter 11 by Cone Editions?

Ok, I'd really like to know what's going on here...


Jon,

Since you NEVER return my calls or email queries until I post my 
questions publicly, I have no choice but to once again do so.

Is Piezography Limited a new company or is it part of Cone Editions?

If it is a separate concern, why do I not find it listed in the Vermont 
Secretary of State's database of Vermont registered Corporations? (Where 
Cone Editions Press IS found.)

Is it perhaps not a Vermont Corporation? If so, in what state, 
territory, or nation IS it registered?

If it is a separate concern, have you moved or sold all your non-R9 
related piezo assets to Piezography Limited?

The way this is going, I'm about to simply file for copies of all the 
papers in the R9 suit and your petition, as well as tracking through 
corporate databases and attending the 23 November hearing in person, 
just to understand the simplest reality of how all this fits together.

Why should this be of anybody's business but Jons? Does this mean we 
all have to disclose details of our business on this e-group?

I'm not Jon Cone and I'm not familiar with Vermont business entity laws but
FWIW in most states with which I'm familiar when the word "Limited" or the
abbreviation "Ltd" follows a business name it signifies that the business is
organized as a limited partnership, not a corporation, which could be why
you don't find it in a corporation database.

I for one would like to know before I invest in a Piezography system that it 
will be around after my purchase!  How would feel if only months after you 
bought a high-end system that the company was no longer in business?

someone is asking about..

2) The health of a business that directly services this group's base is 
definitely of interest and relevant.  The current Ilford situation 
points up the dangers of ignoring such information.

If your company services a large portion of the B&W user market and 
basically established that market niche it would certainly be relevant.

Jay,
I can see your point about that concern, but do you really have the 
time to do that much homework on whether a company is secure? I would 
think that if you value your time you can do the math and see that it's 
worth more then the investment you will be making into a Piezography 
system. Through the years of being in business I have seen not only 
software companies but equipment suppliers "belly up" with no warning. 
I just get up off the ground and move on to the next. It has just 
become part of doing business in this economy. Perhaps Jon can not 
comment do to legal "gag order"?

Agreed, in most states that is true.. But in Vermont the waters are 
apparently a bit muddier. I'm assuming that's related to holdover of 
some English law - such as that which early on laid the foundation for 
things like the Dartmouth Charter case.

I'm not a betting man.

But if I had to bet...

I would not expect Piezography ICC to disappear, and DEFINITELY not 
anytime soon. On its own it is certainly a solid product (the iQuads 
product looks certain to be even more so) and one that AFAIK Jon's 
companies are wholly responsible for the R&D on (so we should not have 
any chance of future lawsuit messiness).

Let's suppose that in a worst (for Jon Cone) situation, Sundance wins 
the suit big AND the Piezography limited assets are deemed to be within 
reach of Sundance for purposes of satisfying the judgment.

I would expect that on of the following would happen

1) someone other than Jon would end up running it after buying it from 
Cone and Sundance (assuming they each end up with a part).

2)   Cone finds a "white knight" to buy the Sundance interest and leaves 
him in control

3)   Sundance buys out the Cone interest and continues it.

Only sheer idiocy on all sides would end, even in this WORST case 
scenario, with the whole thing just going belly up.  I wouldn't worry 
about any Piezo equipment investments over the short term. Although I 
have been told some vendors have or are making some of the Cone holdings 
pay cash for delivery of product.

InkJetMall is an ENTIRELY separate entity and very unlikely to be 
affected by any of this..

You (and perhaps he) misunderstand what he will find in his search, if he
finds anything. He's searching the Secretary of State records of what he
thinks is a corporation that he thinks is organized in Vermont (just because
Cone does business in Vermont doesn't mean his company is necessarily
incorporated there, even assuming it's incorporated at all, but that's
another question). The corporate records maintained by a Secretary of State
will tell very little about the details of a corporation's business and
nothing at all about about its "health."   The records that a Secretary of
State maintains usually include the corporation's charter and its annual
report. These things typically give very basic information such as the names
of the corporation's officers and directors, the number of shares of stock
authorized and issued, and whether the corporation is in good standing in
the state (which means nothing more than that the required annual filing
fees have been paid) and a few other things like that. Details vary from
state to state but I've never done a Secretary of State search (and I've
done hundreds) that would reveal anything about "the health of a business"
or anything else that would be of interest (beyond idle curiosity) to
someone whose only connection with the business is the purchase of its
products.

Agreed, but to even begin the process of inquiry into a company's health 
one basic piece of information is where is is chartered or domiciled.. 
Definitely one needs to know if it is even a company...

Depending on the answers to these preliminary questions, I may have 
others.  But, no journalist shows their hand ahead of time.  ;-)

Here is what I know:
Italy and France facilities are closed. England got rid of 375 people. 
Switzerland (digital products) no change. US distribution facility will 
remain open and ship as product comes in from England. US sales force 
down to three, east coast, mid-west, and west coast reps only survived. 
Powder chemicals and graded b&w papers will fizzle out. Service 
division (SERCO) is history. All service will most likely be through 
CalGraph (no decision on this yet).

So bottom line is they are alive but product availability will be 
slower then normal.

We (as dealers)are still getting in all orders, just a little bit 
slower.

So, digital products like inkjet papers will continue to be available
from Ilford.

But you also say that, "Powder chemicals and graded b&w papers will
fizzle out." Does that include film developping chemicals or only
paper related chemicals ?

All of your points are well taken!  However, if I learn in advance that a 
company is in serious danger of going "belly up," wouldn't I be foolish to 
buy anything from the company?

Plus, I have a fiscal repsonsibility to myself.  Evidently you are better 
"healed" than I am.  I cannot afford to simply run out and reinvest in 
systems that peter out after a few months for whatever the reason.

I don't know the specifics of what is happening, and they are none of my 
business.  However, I do hope that things work out to your best interest.  
From everything I've read, you have an excellent product and I am hoping to

brand Piezography system.

They just told me powered chemicals, liquid chemicals will still be 
made. Things are a little confusing right now, even the people at 
Ilford are confused. My old rep (he needs a job if anyone out there 
wants him) said they called them into a meeting and they thought is one 
going to be one of those "we need to cut back on expenses" talks but it 
turn out to be a pink slip event.

Sorry, but what state (or country) a business is registered or 
incorporated in IS a matter of public relevance, which is why states 
and other governments keep public records of these things.  It's not 
some kind of an invasion of privacy to inquire about it.

How is it any of your business whether he has the time?   Man, for 
someone who was complaining earlier that the initial iquiry about 
where the company was registered was out of line, you seem to have
