If I remind correctly, Cubase SX can t sync to midi timecode, but only to midi clock... Anyway the manual or the .pdf explain every parameter in the sync

I had this problem with reaktor. Using the MD as master the clock it outputs rapidly fluctuates round the set tempo. In the end I had to set the MD as slave
